STANDARD TERMS AND CONDITIONS OF SALE


  1. 1. General Agreement These terms and conditions apply to all sales and services provided by Hoffmann Industrial Solution Sdn Bhd ("HIS"). By placing an order, the client agrees to these terms. Any modification or deviation from these terms must be mutually agreed upon in writing. We value collaborative partnerships and aim to resolve any discrepancies amicably.

  3. 2. Payment Terms Unless otherwise specified in our invoice or official quotation, all invoices are strictly payable within 30 days from the invoice date. In the event of late payment, HIS reserves the right to apply a reasonable late payment interest of 8% per annum (calculated daily) on the outstanding balance. HIS also reserves the right to suspend further deliveries or services until the outstanding balance is cleared.

  5. 3. Delivery and Inspection We are committed to delivering performant industrial solutions within the agreed timeframes. Upon receiving the goods or services, the client is required to inspect them. Any claims regarding visible defects, missing items, or non-compliance must be reported to HIS via official email within 14 days of delivery.

  7. 4. Warranty and Liability HIS supplies high-quality industrial equipment backed by the respective original manufacturer's standard warranties. The specific warranty period and coverage for each product are determined strictly by the manufacturer's official documentation or as explicitly stated in HIS’s official quotation. While we ensure the equipment meets the agreed technical specifications, HIS shall not be held liable for indirect, incidental, or consequential damages (including, but not limited to, loss of production or profit) arising from the use of the equipment. Our total liability shall not exceed the total value of the specific order in question.

  9. 5. Taxes and Duties All prices quoted are exclusive of applicable taxes unless stated otherwise. If the client’s local legislation requires withholding tax at source, the client is responsible for paying such taxes to the relevant tax authorities without deducting the amount from HIS’s invoice. The client ensures that HIS receives the full invoiced amount.

  11. 6. Governing Law All contractual relations and business transactions between the client and Hoffmann Industrial Solution Sdn Bhd shall be governed exclusively by the laws of Malaysia.
